Establishing a General partnership

The application for entry into the commercial register is filed to the commercial court in the place of the seat of the trader (company).

The application for entry into the commercial register shall include:

  1. Company’s name,
  2. Seat of the company,
  3. Business address,
  4. Full name, personal identification number and place of residence or company’s name and seat of company for each shareholder,
  5. Full name(s) of person(s) authorized to represent the company and their powers/responsibilities.
  6. Business’ activities that require consent, license or other act of the competent authority to be carried out

The following shall be enclosed to the application:

  1. The agreement establishing a company (company’s agreement) and decision on determining company’s businesses,
  2. The register shall be notified on any additional change to the company’s agreement, name or seat, business’ activities that require consent, license or other act of the competent authority to be carried out, admission of a new shareholder or termination of a membership to the existing one. or any changes regarding the authorization for representing the company.

The original of the document(s) or certified copies (made by notary public) shall be enclosed to the application unless other form of document(s) is prescribed by law.

The application shall be submitted by all shareholders jointly.

Company’s agreement

Legal relationship of shareholders is governed by the company’s agreement, while the provisions of the Companies Act are applied only when the specific matter is not regulated by the company’s agreement.

Individual contributions of shareholders

Unless agreed otherwise, equal contributions shall be made by all shareholders.

Contributions may be entered in money, goods, rights, works or services. The value of non-monetary contributions shall be defined in monetary terms by mutual agreement among the shareholders.
